Mr. Popov:

Well, gentlemen, it looks as if our talks are coming to an end. It seems to me that we’ve already discussed all the questions of interest for both of our companies. Do you agree with that, Mr. Lewis?

Mr. Lewis:

Да, я согласен. И если я вас правильно понял, вы предлагаете перейти к подведению итогов нашей работы, подготовив и подписав документ, имеющий юридическую силу.

Mr. Popov:

You are quite correct. And generally speaking, there are two ways for us to do it properly from the technical point of view, as you know. ‘the first is make out a full-sized contract right now and the order one is to sign a letter of intent as an interim step paving the way to the contact in the nearest future. Honestly, I am in a favor of a letter of intent. And what about you, gentlemen?

Mr. Lewis:

Именно такова наша точка зрения тоже. По моему мнению, протокол о намерениях позволит нам сделать ряд предварительных и, в то же время, абсолютно необходимых испытаний для того, как мы установим полномасштабные контрактные отношения.

Mr. Popov:

I’m pleased that you share the opinion of my colleagues and me. We’ve prepared a draft of the document. Would you mined looking through it? (He hands over the copies of the draft document to Mr. Lewis and Mr. Crow, who set to reading it)

Here is the document:

Letter of Intent.

                                                                               St. Petersburg __”_” 200__

Messrs Lewis G.F. and craw M.H. hereinafter referred to as the “Customer” and the “Parma Controls Services’ company hereinafter referred to as the “Supplier” have signed the  present Letter of Intent for the following:

  1. The Supplier have sold and the Customer have bought a set of equipment designed for performing a quality control procedure in a process of the valves production at the “Lewis & Son’s” facilities. All the equipment is to be delivered in full conformity with the technical characteristic and complete scope of supply specified in Appendix №__ .
  1. Поставщик должен провести наладку и запуск в работу вышеупомянутого оборудования. С этой целью Поставщик должен направить в компанию “Lewis & Son” квалифицированных специалистов.
  1. The number of specialists, their specialties and the period of stay at “Lewis & Son” should be stipulated by a special agreement between the Supplier and the Customer.
  1. Заказчик должен возместить Поставщику следующие затраты:

a) the total value of the equipment, spare parts, tools, technical documentation and services in the volume specified in Appendices №__;

b) ежемесячная зарплата специалистам в местной валюте с момента их прибытия и до момента отъезда;

c) air travel expenses of the specialists from St. Petersburg to London and back – tourist/economy class, including the cost of excess luggage transportation over and above the free allowance indicated in each ticket;

d) Затраты Поставщика при оформлении страхования в компании «Ингосстрах» от профессиональных рисков.

5.   To effect payments the Russia’s side in St. Petersburg shall, once every month, draw invoices in 3 copies to the Customer through the National Bank of Russia for collection the names of Supplier’s specialists, the duration of their stay in the Customer’s country, monthly reimbursement raters and other expenses incurred the present letter of intent shall be endorsed with each invoice. The payment for the equipment, spare parts, tools and technical documentation is effected through the same bank but in a separate way.

6.  Период испытания установленного и налаженного оборудования составляет 6 (шесть) месяцев.

9.  Should the quality control equipment delivered by the Supplier reveal the effective and trouble-free performance during the above mentioned period, the Supplier and Customer will make a commitment to step up a joint-stock company to start production thereof.

10.  Величина, место расположения и фирменное название этой совместной компании подлежат последующему обсуждению.

Having finished the reading, the British businessmen have held a brief consultation with each other. Then Mr. Lewis addresses to Mr. Popov:

Mr. Lewis:

Хорошо, г-н. Попов. В этом проекте документа нет ничего такого, против чего я бы возражал. В общем, и целом, я согласен с его основной идеей. Но возможно есть какие-либо детали, которые мы упустили. Я думаю, что нам лучше взять эту версию (документа) в Лондон и получить мнение о нем нашего совета директоров. Затем откорректированный и подписанный вариант документа будет в двухнедельный срок выслан Вам на подпись.

Mr. Popov:

OK It’s a deal. Thank you, gentlemen, for the productive and efficient work. We’ll be looking forward to hearing from you soon.
